Rules and regulations of The Dragon's Pen association
Adopted by the General Meeting of 11 January 2025
Article 1 - Approval of new members.
All new members must be sponsored and presented by a member of the association, and approved by a founding member, prior to their approval. They are approved by the Board acting by a majority of all its members.
The Board decides on applications for membership at each of its meetings. Persons wishing to join must complete an application form.
Article 2 - Resignation - Exclusion - Death of a member
1. Resignations must be addressed to the Chairman of the Board by registered letter. The resigning member does not have to give any reasons.
2. As indicated in article ‘N’ of the Articles of Association, the Board may exclude a member for serious reasons. The following in particular are deemed to constitute serious grounds - a criminal conviction for a felony or misdemeanour ; - any action likely to be prejudicial, directly or indirectly, to the association's activities or reputation. The decision to exclude a member is taken by the Board acting by a two-thirds majority of the members present.
3. In the event of the death of a member, the heirs or legatees shall have no claim whatsoever to continued membership of the Association. The subscription paid to the Association is definitively acquired, even in the event of resignation, exclusion or death of a member during the year.
Article 3 - General Meetings - Voting procedures
1. Voting by members present Members present shall vote by a show of hands. However, a secret ballot may be requested by the Board or 50% of the members present.
2. Proxy votes As indicated in the article of the Articles of Association, if a member of the Association is unable to attend a meeting in person, he/she may be represented by a proxy under the conditions indicated in the said article.
Article 4 - Reimbursement allowances.
There shall be no reimbursement of expenses.
Article 5 - Working committees.
Working committees may be set up by decision of the Board of Directors.
Article 6 - Amendment of the internal regulations.
The present internal regulations may be amended by the Board or by the Ordinary General Meeting by a majority of the members.
